These Terms of Service (“Terms”) govern your access to and use of the Nexxus platform (“Service”), including any websites, applications, APIs, and related services operated by Nexxus (“we,” “us,” or “our”). By creating an account, accessing, or using the Service, you agree to be bound by these Terms. If you do not agree, do not use the Service.
2. Description of Service
Nexxus is a software-as-a-service platform designed for professionals and businesses. The Service includes customer relationship management (CRM) tools, AI-assisted prospecting, voice and messaging communication features, campaign automation, calendar and meeting tools, analytics, and social media management capabilities.
3. User Accounts
You must provide accurate, complete, and current information when registering. You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. You must immediately notify us of any unauthorized use or security breach.
4. Acceptable Use
You agree not to use the Service to violate any applicable law, infringe intellectual property rights, send unsolicited communications in violation of anti-spam laws, harass individuals, distribute malware, or engage in fraudulent activity. We reserve the right to suspend or terminate accounts that violate these rules.
5. Subscriptions, Billing & Cancellation
Some features require a paid subscription. Fees are billed in advance on a recurring basis according to the plan you select. You may cancel your subscription at any time through your account settings or by contacting support. Cancellations take effect at the end of the current billing period. No refunds will be issued except where required by law.
6. Intellectual Property
Nexxus and its licensors own all rights, title, and interest in the Service, including all software, designs, trademarks, and content made available through the platform. You retain ownership of the data you upload or generate using the Service. We grant you a limited, non-exclusive, non-transferable license to use the Service during the term of your account.
7. Third-Party Integrations
The Service may integrate with third-party platforms such as TikTok, LinkedIn, Google, Microsoft, Zoom, Twilio, and others. Your use of those integrations is subject to the respective third parties’ terms of service and privacy policies. Nexxus does not control and is not responsible for the availability, accuracy, or practices of third-party services.
When you connect a social media account, you authorize Nexxus to access and publish content on your behalf in accordance with the permissions you grant. You may revoke access at any time through the platform or the third-party service.
8. Termination
You may terminate your account at any time. We may suspend or terminate your access if you breach these Terms, fail to pay fees when due, or if required by law. Upon termination, your right to use the Service ceases immediately, and we may delete your data in accordance with our Privacy Policy and applicable law.
9. Disclaimer of Warranties
The Service is provided on an “as is” and “as available” basis. To the fullest extent permitted by law, Nexxus disclaims all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not guarantee that the Service will be uninterrupted, error-free, or secure.
10. Limitation of Liability
To the maximum extent permitted by law, Nexxus and its affiliates, officers, employees, and agents will not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, revenue, data, or goodwill arising out of or relating to your use of the Service.
11. Indemnification
You agree to indemnify and hold harmless Nexxus and its affiliates from any claims, damages, liabilities, costs, and expenses arising out of your use of the Service, your content, or your violation of these Terms.
12. Governing Law
These Terms are governed by the laws of the State of Delaware, United States, without regard to its conflict-of-laws principles. Any dispute arising under these Terms will be resolved in the state or federal courts located in Delaware.
13. Changes to These Terms
We may update these Terms from time to time. We will notify you of material changes by email or through the Service. Your continued use of the Service after changes become effective constitutes acceptance of the revised Terms.
